By accessing or using the website natlex.it, mobile applications (including PlateIQ and Noda), and any related services (collectively, the "Services") provided by Natlex IT ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Services

Natlex IT is an independent product studio that develops AI-powered applications. Our current products include:

• PlateIQ: An AI-powered nutrition and calorie tracking application that analyzes food from photos and provides personalized dietary coaching.
• Noda: An AI voice recorder application that transforms audio recordings and documents into structured memos, infographics, and podcasts (currently in beta).

Features, availability, and supported platforms may change without prior notice as we continue to develop and improve our products.

3. User Accounts

• You may need to create an account to access certain features of our Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must provide accurate and complete information when creating an account and keep it up to date.
• You must notify us immediately at info@natlex.it if you suspect unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

When using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Services, other users' accounts, or computer systems or networks connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Upload, transmit, or distribute any viruses, malware, or other harmful code.
• Use automated means (bots, scrapers, crawlers) to access or interact with the Services without our express written permission.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software used in the Services.

• Submit content that is defamatory, obscene, abusive, or that infringes on the rights of others.
• Misuse the AI features by submitting harmful, misleading, or manipulative inputs designed to produce unintended outputs.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio, video, software, algorithms, and underlying AI models — are the exclusive property of Natlex IT or our licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works from any content provided by the Services.

6. User Content

You retain ownership of content you submit through our Services (photos, voice recordings, documents, text). By submitting content, you grant Natlex IT a limited, non-exclusive license to process, analyze, and store such content solely for the purpose of providing the Services to you.

You represent and warrant that:

• You own or have the necessary rights to submit the content.
• Your content does not infringe upon the intellectual property or privacy rights of any third party.
• Your content does not violate any applicable laws.

We reserve the right to remove any content that violates these Terms without prior notice.

7. AI-Generated Output

Our Services use artificial intelligence to generate outputs such as nutritional analysis, transcriptions, summaries, and recommendations. You acknowledge and agree that:

• No guarantee of accuracy: AI-generated outputs are provided on an "as is" basis. While we strive for accuracy, AI outputs may contain errors, inaccuracies, or omissions.
• Not professional advice: AI nutritional analysis (PlateIQ) is for informational purposes only and does not constitute medical, dietary, or health advice. Always consult a qualified healthcare professional before making dietary decisions.
• Not a substitute for review: AI-generated transcriptions and summaries (Noda) should be reviewed for accuracy before relying upon them for business or legal purposes.
• Continuous improvement: AI models and algorithms may be updated, which could result in different outputs for the same inputs over time.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• The results obtained from using the Services will be accurate, reliable, or complete.
• Any defects in the Services will be corrected.
• The Services will be compatible with all devices or operating systems.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NATLEX IT, ITS FOUNDERS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services, including AI-generated outputs.
• Unauthorized access, use, or alteration of your transmissions or content.
• Dietary, health, or business decisions made based on AI-generated outputs from our Services.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Natlex IT, its founders, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Content you submit through the Services.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Third-Party Services

Our Services may integrate with or contain links to third-party services (e.g., Google Play, Google Gemini API, Firebase). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration institution, unless you are entitled to pursue claims in a court of competent jurisdiction under applicable consumer protection laws.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Natlex IT regarding the use of the Services, superseding any prior agreements between you and us.
